1. THE PROVIDER

2. DEFINITIONS
Provider: Interactic Media Kft.
Platform: the Margyn web application (margyn.io, app.margyn.io).
Affiliate: the business that has registered for the Affiliate Programme and accepted these terms.
Affiliate Programme: the referral programme governed by this document, operated by the Provider through Refindie (www.refindie.com).
Referral Link: the unique link assigned to the Affiliate, by which visitors they send can be identified.
Referred Customer: a user who arrived through the Referral Link and can be attributed to the Affiliate under these terms.
Commission: the fee payable to the Affiliate on payments made by a Referred Customer.
3. PARTICIPATION
3.1. Only businesses may participate — a company (Ltd., Kft., GmbH or equivalent) or a registered sole trader — holding a valid, active tax number both at registration and for the whole duration of the relationship. This is because the Provider pays Commission solely against an invoice (Section 7).
3.2. Private individuals who cannot issue an invoice may not participate.
3.3. Sole traders taxed under the Hungarian KATA regime may not participate. Under Section 5(1)(g) of Act XIII of 2022, KATA status ends where the taxpayer derives revenue from a paying entity such as a company, with effect from the day before that revenue is received. The Provider therefore does not pay Commission to a KATA sole trader, primarily to protect the Affiliate. It is the Affiliate's responsibility to know their own tax status and to report any change to it.
3.4. Tax number and changes. The Affiliate provides their tax number at registration, and their EU VAT number if established in another EU member state. Any change to these — including cancellation or suspension of the tax number, suspension of activity, or a change of tax regime — must be reported within 8 days.
3.5. The Provider may reject any application without giving reasons.
3.6. By registering, the Affiliate confirms that the details they provided are accurate and undertakes to report any change without delay.
4. THE REFERRAL LINK AND ATTRIBUTION
4.1. Attribution lasts 60 days from a click on the Referral Link. If the visitor registers on the Platform within that period, the Referred Customer is attributed to the Affiliate.
4.2. After registration, attribution persists with no time limit: Commission is payable even if the Referred Customer subscribes considerably later.
4.3. Where several referrals compete, the most recent click prevails.
4.4. Attribution depends on data stored in the visitor's browser. The Provider is not liable where attribution fails because of the visitor's settings, a change of device, or their browser's data handling.
4.5. The Affiliate may not refer a store operated by themselves, an affiliated undertaking, or a close relative. Commission arising this way will be reversed.
5. COMMISSION
5.1. Commission is 40% of every payment made by a Referred Customer, for 12 months from their first payment.
5.2. Commission is calculated on subscription fees actually received, net of VAT.
5.3. After 12 months no further Commission is payable for that Referred Customer. Each new Referred Customer starts its own 12-month period.
5.4. No Commission is payable on refunded or charged-back payments; Commission already settled will be deducted from the next statement.
5.5. Holding period. Commission on a given payment becomes payable 30 days after that payment. If the Referred Customer cancels their subscription within that period, or the payment is refunded, no Commission is due on it.
5.6. Minimum payout. The Provider makes a payment once payable Commission reaches EUR 25 net. Below that, the balance rolls over to the next settlement period. On leaving the Affiliate Programme, the Provider settles any remaining balance regardless of this threshold.
5.7. The Provider may change the Commission rate prospectively (Section 10). Such a change does not affect the running 12-month period of attributions already established.
6. PROHIBITED CONDUCT
6.1. Branded keyword advertising. The Affiliate may not run paid advertising on the name "Margyn", its variations or misspellings, or the margyn.io domain — whether on search networks (Google Ads, Bing) or social platforms. This extends to the brand name combined with purchase-intent terms, in particular: "margyn coupon", "margyn discount", "margyn promo code", "margyn deal", "margyn price", and variations of these. The Affiliate is free to advertise on their own domain, their own content, and any other keyword.
6.2. Negative keywords. The Affiliate must add "Margyn" and its variations as negative keywords in every paid campaign that promotes the Platform. The Provider may ask for evidence of this.
6.3. The Affiliate may not create the impression that they are an official representative, employee or official page of the Provider.
6.4. The Affiliate may not make untrue statements about the Platform, nor promise features or outcomes the Platform does not deliver.
6.5. Unsolicited messaging (spam), link-dropping in comments, and operating coupon or discount sites that intercept purchase intent originating elsewhere are prohibited. This includes the Affiliate's page appearing on the first page of Google results for our brand name combined with "coupon", "discount" or "promo code".
6.6. The Affiliate may not place the Referral Link on unlawful, hateful or adult content.
6.7. Disclosing the relationship. In any content using a Referral Link or code, the Affiliate must state clearly and visibly that they are compensated for the recommendation. For Hungarian-language content the disclosure must be in Hungarian. It must appear at the start of the content — not at the end, and not buried among hashtags. "Fizetett ajánlás" or "I earn commission for anyone registering through this link" are adequate. Where the disclosure is missing, the Provider may reverse the affected Commission and terminate participation.
6.8. Machine-generated and copied content. The Affiliate may not promote the Platform on a page whose content is predominantly machine-generated or copied from elsewhere and which presents itself as genuine experience or independent review. This prohibition is about the effect, not the tool: using artificial intelligence is not in itself excluded, creating the appearance of first-hand experience is.
6.9. On breach of this Section, the Provider may reverse the affected Commission and terminate the Affiliate's participation with immediate effect.
7. INVOICING AND PAYMENT
7.1. At the start of each calendar month the Provider closes off the Commission that became payable in the previous month (Sections 5.5 and 5.6) and notifies the Affiliate of the amount.
7.2. The Affiliate issues an invoice for that amount to the Provider's name and registered seat (Section 1), at most once per month. The invoice must:
a) state "business acquisition commission" (üzletszerzési jutalék) and the period covered in the description;
b) carry the Affiliate's programme identifier;
c) match the details held on the Affiliate's programme account.
The Provider may return an invoice that does not meet these requirements. Where it does, it will say what is missing, and the payment period runs from receipt of the corrected invoice.
7.3. The Provider settles a properly issued invoice by bank transfer within 30 days of the invoice date.
7.4. Commission is settled in euro (EUR).
7.5. The tax consequences of invoicing are the Affiliate's responsibility; the Provider does not give tax advice. For information: a Hungarian VAT-registered Affiliate invoices with VAT; an Affiliate under the small-business VAT exemption states the ground for that exemption; and for an Affiliate established in another EU member state the place of supply is Hungary under Section 37(1) of the Hungarian VAT Act, so the invoice is issued under the reverse charge and must show a valid EU VAT number.
7.6. The Provider may withhold payment where entitlement to Commission is disputed, or where there is reasonable suspicion of fraud or breach of Section 6, until its review is complete.
7.7. Duty to inform. On request, the Affiliate must tell the Provider within a reasonable period what source and what means produced a given referral. Complying with such a request is a condition of Commission being payable.
7.8. Commission paid in error. Where it later emerges that the Provider paid Commission that was not due under these terms, the Provider may deduct it from the next settlement. If the relationship ends before the deduction is complete, the Affiliate repays the remaining balance within 30 days of termination.
7.9. Invoicing deadline. The Affiliate must invoice payable Commission within 12 months of being notified of it. After that period the entitlement to un-invoiced Commission lapses. On termination of the relationship this period is 30 days.
8. TERMINATION
8.1. The Affiliate may terminate their participation at any time, without giving reasons.
8.2. The Provider may terminate the Affiliate's participation in writing without giving reasons. The notice period is one month during the first year of the relationship, two months in the second year, and three months from the third year onward. Termination takes immediate effect on breach of Section 6.
8.3. On ordinary termination, Commission accrued up to termination remains payable and is settled under Section 7. No Commission is payable on payments arising after termination.
8.4. Where participation is terminated with immediate effect for breach of Section 6, the Provider may withhold Commission not yet paid.
9. LIABILITY
9.1. The Provider does not guarantee the Affiliate any particular number of referrals, revenue or outcome.
9.2. The Provider is not liable for the availability, operation or data accuracy of the Refindie system. In the event of a dispute, the Provider's own records prevail.
9.3. Save for intentional breach and breach causing loss of life or damage to physical health, the Provider's liability is limited to the Commission actually paid to the Affiliate in the 12 months preceding the claim.
10. CHANGES TO THESE TERMS
10.1. The Provider may amend these terms unilaterally.
10.2. The Provider will notify the Affiliate of any amendment at their registered email address at least 15 days before it takes effect.
10.3. An Affiliate who does not accept an amendment may terminate their participation before it takes effect. Continued use of the Affiliate Programme constitutes acceptance.
11. DATA PROTECTION
11.1. The Provider's Privacy Policy governs the processing of the Affiliate's data: https://margyn.io/en/privacy
11.2. The Provider uses Refindie to operate the Affiliate Programme, which processes data in order to attribute visitors.
12. MISCELLANEOUS
12.1. The Affiliate acts as an independent business. These terms do not create an employment relationship, a joint venture, or any authority to represent the Provider.
12.2. The Affiliate's role is limited to directing interested parties through the Referral Link. The Affiliate has no authority to conclude or negotiate contracts on the Provider's behalf or for its account, to make offers, to set prices or terms, to grant discounts, or to incur any obligation. The Affiliate is under no continuing duty to procure customers, and the Provider has no right to direct how the Affiliate works.
12.3. The Affiliate may not assign their rights or obligations under these terms without the Provider's prior written consent.
12.4. The Affiliate acts as a business in this relationship and is therefore not a consumer under the Hungarian Civil Code; rights reserved to consumers do not apply to them.
12.5. Neither party is liable for failure to perform during a force majeure event — in particular an unavoidable external cause, an act of authority, or a sustained internet or service outage — for as long as the impediment lasts.
12.6. These terms are governed by Hungarian law.
12.7. The parties will seek to resolve disputes by negotiation in the first instance. Failing that, the Hungarian courts have jurisdiction.
12.8. The Affiliate may also be subject to the Provider's general Terms of Service as a customer of the Platform. On matters concerning the Affiliate Programme these terms prevail; on all other matters the general Terms of Service apply.
12.9. If any provision of these terms is invalid, the validity of the remaining provisions is unaffected.
